Tata Motors’ Iveco Takeover Bid Secures 87.8% Acceptance

The €3.9 billion transaction has crossed the 80% threshold, bringing the companies closer to combining their commercial vehicle operations.
Mumbai, October 27: Tata Motors’ takeover bid for Italian commercial vehicle manufacturer Iveco has secured 87.8% acceptance, crossing the 80% threshold required for the next stage of the €3.9 billion acquisition. The development was reported by The Financial Express on October 27, citing an Italian stock-market filing.
Tata Motors had offered €14.40 per share, which it described as its final offer. The acceptance level brings the company closer to securing control of Iveco and pursuing its planned delisting, subject to the applicable takeover conditions and regulatory requirements.

A Larger Global Commercial Vehicle Business
The transaction is expected to combine Tata Motors’ commercial vehicle operations with Iveco’s truck and bus businesses across international markets. Iveco’s defence business is excluded from the acquisition.
The combined business is projected to generate annual revenue of approximately €21 billion and sell more than 590,000 vehicles, according to the report. The expanded scale could strengthen the group’s presence in Europe and other developed markets.
Potential Benefits from Scale
The proposed combination could provide opportunities to share engineering capabilities, procurement networks and support functions. Greater purchasing scale may also improve negotiating leverage with suppliers.

However, the benefits will depend on how effectively the companies integrate their operations while maintaining service quality, production continuity and relationships with existing customers.
Integration Expected to Begin Next Quarter
Tata Motors has said the integration process is expected to begin in the next quarter. The initial priority will be to ensure a smooth transition across businesses and markets.
Cross-border acquisitions of this size also require careful management of regulatory obligations, workforce considerations, brand positioning and the needs of commercial vehicle customers.

Market Perspective
The takeover could give Tata Motors a broader international footprint and greater access to European commercial vehicle markets. It may also diversify the company’s exposure across regions and product categories.
However, a high acceptance rate does not by itself guarantee successful integration or future profitability. Investors will need to monitor the final ownership structure, regulatory completion, integration costs and the performance of the combined business.
